TERMS AND CONDITIONS OF MEMBERSHIP

These Terms and Conditions of Membership (the “Terms and Conditions”) are effective as of the date that Member joins NAWBO (hereinafter, the “Commencement Date”). The Terms and Conditions are by and between Member and the National Association of Women Business Owners (“NAWBO”). Member and NAWBO may be referred to singularly as a “Party” or collectively as the “Parties.” By receiving these Terms and Conditions, Member expressly acknowledges that Member is agreeing to the provisions contained herein.

Terms:

1. Term of Membership. Member’s membership lasts for at least one one-year term, commencing on the Commencement Date. NAWBO membership obligates Member to pay one full year of membership dues at the applicable date as of the Commencement Date.

2. Dues and Fees. The NAWBO Board establishes dues and fees for all categories of NAWBO associate membership, which includes all national dues and chapter dues. The NAWBO Board may add fee categories at its sole discretion. Fees may be assessed for each new NAWBO registration, and the NAWBO Board reserves the right to periodically waive certain fees in order to facilitate and encourage membership growth.

3. Payment of Dues and Fees. Dues and fees may be paid electronically as a part of Member’s online application process on NAWBO’s standard application form. Dues and fees may also be paid electronically pursuant to a renewal invoice that Member has received from NAWBO. Member may choose to make payments in a singular lump sum amount within thirty (30) days of the Commencement Date and thereafter on the anniversary of Member’s Commencement Date (the “Renewal Date”) (collectively, the “Annual Payment Schedule”). Member may also choose to pay for dues and fees in installments. Should Member desire to pay in installments, Members must pay the total annual membership dues and fees in twelve (12) separate monthly installment payments. Member’s first installment payment is due within thirty (30) days of the Commencement Date or Renewal Date, whichever is applicable, and must be paid every month thereafter (collectively, the “Installment Payment Schedule”).

4. Termination of Membership. Member’s membership may be terminated: (a) in the event of Member’s failure to pay membership dues timely and consistently with either the Annual Payment Schedule or the Installment Payment Schedule; (b) in the event of Member’s voluntary resignation upon submission of a written resignation letter addressed and sent to NAWBO; or (c) in NAWBO’s sole discretion or upon recommendation of a NAWBO chapter, pursuant to NAWBO’s policies and procedures, which may be revised from time to time.

5. Effect of Termination. Absent extraordinary purposes, no portion of any dues that Member paid to NAWBO shall be refunded to a Member whose membership has been terminated pursuant to Section 4 of these Terms and Conditions. Member’s outstanding dues, if any, are immediately due and payable to NAWBO upon Member’s termination.

6. Censure of Membership. As an alternative to termination of membership, as outlined in Section 4 of these Terms and Conditions, any NAWBO chapter may, for good cause, censure any Member. A Member may only be censured by a two-thirds (2/3) vote of the chapter’s board, in accordance with the disciplinary methods described in the most current edition of Robert’s Rules of Order. In the event of a censure, the censured Member shall continue to pay dues and fees according to the Annual Payment Schedule or Installment Payment Schedule, whichever is applicable.

7. Transfers. NAWBO Members who relocate their businesses are eligible for transfer of their membership to any chapter within forty-five (45) miles of their new business location. In the event that a NAWBO chapter does not exist within forty-five (45) miles of the Member’s new business location, the Member may elect to convert their membership to a virtual membership. In the event that Member transfers her membership to a new chapter or to a virtual membership, annual dues for the Member’s new class will be billed on the original membership anniversary date. If Member pays dues in accordance with an Installment Payment Schedule, Member’s monthly installments will transfer effective upon the date of transfer. Chapter dues are not transferable or refundable. Members who transfer their membership and become affiliated with a new NAWBO chapter will be billed for their new chapter dues upon their requested date of transfer. Renewal dues will be billed at the anniversary date of the Member’s transfer. While Member’s NAWBO memberships is transferrable from chapter to chapter in the event of a business relocation, Member’s membership is not transferrable to another individual, whether or not that individual is affiliated with NAWBO and/or the Member’s business.
