Online Ad Kit Terms of Use
Welcome to the Online Ad Kit, a resource maintained by and on behalf of the National Association of Women Business Owners® (NAWBO®). Use of this service is restricted to NAWBO members and affiliates who have been authorized by and have received passwords from NAWBO. By accessing the Online Ad Kit on behalf of a business entity, an individual expressly represents that they have the legal capacity and authority to bind such business entity to the terms and conditions contained in this document and any additional terms and conditions contained on the Online Ad Kit (the “Terms and Conditions”). Any attempt at unauthorized access may result in legal action and/or termination of access privileges. “User” or “you” shall refer both to the individual accessing the Online Ad Kit on behalf of a business entity and to any such business entity. By accessing and using this Online Ad Kit, you agree to be bound by the Terms and Conditions.
READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES DESCRIBED BELOW. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT ACCESS OR OTHERWISE USE THESE SERVICES. BY ACCESSING THE ONLINE AD KIT, YOU INDICATE AND ACKNOWLEDGE THAT YOU HAVE READ AND ACCEPTED THESE TERMS AND CONDITIONS.
Limited License: NAWBO® hereby grants you a non-exclusive, non-transferable, limited license and right to access through one computer the Online Ad Kit to view, download and use the material made available for use by NAWBO through the Online Ad Kit (“the Content”), strictly in accordance with the Terms and Conditions.
Authorized Use: Access to and use of the Content is restricted to NAWBO members and its affiliates who have been authorized by and have received passwords from NAWBO. Unless otherwise specifically and expressly set forth on the Online Ad Kit, the Content may only be used to advertise and promote NAWBO’s national and chapter events.
Additional terms and conditions of use for specific Content that appear on the Online Ad Kit are hereby incorporated into these Terms and Conditions by reference.
Unauthorized Use: You may not resell, distribute, sublicense, rent or otherwise transfer the Content except strictly in accordance with the Terms and Conditions and solely for the limited advertising purposes described above or on the Online Ad Kit. You may not display the Content with or near any other materials that may be considered offensive, obscene, defamatory, illegal or otherwise objectionable to NAWBO. Any determination made by NAWBO under this paragraph shall be final. The Ad Kit is not intended for use in downloading the logo and graphic marks for use on merchandise without permission.
Passwords: NAWBO shall authorize identification numbers (IDs) and passwords) at its own discretion. Upon requesting a password, you may be required to enter information regarding you, your organization, or your chapter. You must provide truthful information about your organization and yourself when signing up for an ID and password. Use of any alias or other means to mask your true identity of your business will result in termination of access privileges. Your ID and password must be safeguarded at all times and not shared with any other party. Upon a change of User’s responsible personnel in possession of an ID and password, it is the User’s responsibility to contact NAWBO to update or change passwords or information in your profile. NAWBO may, from time to time, monitor the logon times and usage under each ID for the purpose of verifying that the User is the sole holder and user of the ID. To the extent any party gains access to the Online Ad Kit through use of the User’s ID or by circumventing User’s security systems, User shall be liable for all such use.
Unauthorized Access: You are specifically prohibited from using the Online Ad Kit for any illegal purpose. The use of spiders, robots or other automated data mining techniques to catalog, download, store or otherwise reproduce, store or distribute content available on the Online Ad Kit is strictly prohibited. In addition, any action taken to interfere with the Online Ad Kit or any other user’s use of the Online Ad Kit, including, without limitation, via means of overloading, flooding, mail bombing, or crashing the Online Ad Kit is strictly prohibited. You may not send unsolicited e-mail, including promotions and/or advertising of products or services, through the Online Ad Kit or forge or mask your true identity in any e-mail or posting. You may not frame portions of the Online Ad Kit within another Online Ad Kit or establish links from any other Online Ad Kit to any page of the Online Ad Kit other than the home page.
Content: All Content in copyrighted property of NAWBO®, its licensors and other third parties. When NAWBO does not itself own the copyright in and to the Content, NAWBO has acquired the rights to use the Content solely pursuant to the Terms and Conditions. User represents and warrants that it will strictly comply with the Terms and Conditions pertaining to use contained herein and contained on the Online Ad Kit.
If User desires to use the Content in any manner contrary to or outside the scope of the Terms and Conditions, User must contact NAWBO® prior to any such use in order to seek and acquire any additional and necessary rights. User shall fully disclose to NAWBO® in detail all intended uses of the Content at any time upon request.
Proprietary Rights: The Content is either the intellectual property of or is authorized for use by NAWBO and its licensors, business partners and affiliates. Except as expressly permitted in the Terms and Conditions, you may not modify, copy, reproduce, republish, upload, post, transmit, or distribute in any way the Content without prior written consent of NAWBO. You do not acquire any right, title or interest in or to the Content by virtue of accessing the Online Ad Kit or by making use of the Content as permitted by the Terms and Conditions.
Privacy: NAWBO takes privacy very seriously. In order to correspond with NAWBO or utilize services provided in connection with the Online Ad Kit, you may be asked to provide or you may choose to send to NAWBO certain personally identifiable information such as your name, physical address and email address. NAWBO will not sell or rent any personally identifiable information so obtained to any unaffiliated third party. Except as required by law, as specifically set forth in the Terms and Conditions or as required in connection with the maintenance and operation of this Online Ad Kit, NAWBO will not share personally identifiable information about you with any third party. This privacy paragraph only applies to NAWBO’s online activities in connection with the Online Ad Kit.
Disclaimer: THIS ONLINE AD KIT, INCLUDING ALL OF THE CONTENT MADE AVAILABLE ON OR ACCESSED THROUGH THE ONLINE AD KIT IS PROVIDED “AS IS’. EXCEPT AS SPECIFICALLY SET FORTH HEREIN, NAWBO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER FOR THE CONTENT. FURTHER, NAWBO DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE OR TRADE. NAWBO DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE ONLINE AD KIT OR ANY CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE ONLINE AD KIT OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WILL NAWBO BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, COSTS OF COVER, EXEMPLARY, PUNITIVE, PERSONAL INJUSRY/WRONGFUL DEATH, SPECIAL, INCIDENTAL, INDIRECT OR OTHER CONSEQUENTIAL DAMAGES, EACH OF WHICH IS HEREBY EXCLUDED BY AGREEMENT OF THE PARTIES REGARDLESS OF WHETHER OR NOT EITHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification: User agrees to defend, hold harmless and indemnify NAWBO, its business partners, affiliates, successors and assigns against and from any and all third party claims, liabilities, damages, fines, penalties or costs of whatsoever nature (including reasonable attorney’s fees), arising out of or in any way connected with: (i) any breach by User of the Terms and Conditions or (ii) any claim based upon the ultimate use of the Content by User.
Changes: The Content is subject to change without notice.
In addition, the Terms and Conditions are subject to change without notice. We will make such changes by posting them here. You should check this page for such changes frequently. Your continued access of the Online Ad Kit after such changes conclusively demonstrates your acceptance of those changes.
Severability: If any part of the Terms and Conditions shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be ineffective but shall not affect any other part of the Terms and Conditions.
Governing Law: The laws of the State of Virginia shall govern these Terms and Conditions. YOU HEREBY EXPRESSLY CONSENT TO EXCLUSIVE JURISDICTION AND VENUE IN THE COURTS IN FAIRFAX COUNTY, VIRGINIA.
